Each time you enter in a login ID and password on Service Group’s Dealer Portal (1) you represent that you have been authorized to use the Portal by either (i) Service Group, (ii) a Dealership Administrator employed by a dealership (a "Dealer") that has entered into an access agreement with Service Group ("Service Group"); or (iii) a party that has an agreement with Service Group, in accordance with the terms of such agreement; (2) you represent that you are an employee or agent of a party described in clause (i), (ii), or (iii) of item (1) above; (3) you represent that you are the user assigned to use the login ID and password that is accessing the Portal and (4) you agree to be bound by the Terms of Use. The Portal is designed to allow users, Dealers, third-party aftermarket product companies, and Service Group to transmit information electronically to one another, which may include without limitation, contract status information, claims information, dealer reserve status, extended service plans, insurance and debt waiver products, other aftermarket products, and other information.

You acknowledge that Service Group may disclose and transfer any information that you provide through this web portal to (i) any company within Service Group, its affiliates, agents, or information providers; (ii) to any other person or entity with your consent; or (iii) to any other person or entity if we have a right or duty to disclose or are permitted or compelled to so disclose such information by law. You consent to the transmission, transfer or processing of such information as we deem necessary or appropriate and by using and providing information through this web portal you agree to such transfers. Use of this web portal may be monitored, tracked and recorded. Anyone using this web portal expressly consents to such monitoring, tracking and recording.

The information and materials contained in this web portal - and the terms and conditions of the access to and use of such information and materials - are subject to change without notice.

SERVICE GROUP MAY DISCONTINUE OR MAKE CHANGES IN THE INFORMATION, PRODUCTS OR SERVICES DESCRIBED HEREIN AT ANY TIME WITHOUT PRIOR NOTICE TO YOU AND WITHOUT ANY LIABILITY TO YOU. SERVICE GROUP RESERVES THE RIGHT TO TERMINATE ANY OR ALL WEB PORTAL OFFERINGS OR TRANSMISSIONS WITHOUT PRIOR NOTICE TO THE USER.

Security

USE OF THE PORTAL IS RESTRICTED TO SERVICE GROUP AND ITS AUTHORIZED USERS. UNAUTHORIZED USE OF THE PORTAL INCLUDING, BUT NOT LIMITED TO, UNAUTHORIZED ENTRY INTO THE PORTAL, MISUSE OF PASSWORDS, OR MISUSE OF ANY INFORMATION WITHIN THE PORTAL IS STRICTLY PROHIBITED. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, YOU HEREBY ACKNOWLEDGE AND AGREE THAT IT IS A VIOLATION OF THE TERMS OF USE TO LOG ONTO THE PORTAL WITH A LOGIN ID AND PASSWORD THAT WAS NOT ASSIGNED TO YOU PERSONALLY. YOU AGREE TO KEEP YOUR LOGIN ID CONFIDENTIAL AND TO IMMEDIATELY NOTIFY SERVICE GROUP IF YOU LEARN THAT THE SECURITY OF YOUR LOGIN ID AND/OR PASSWORD HAVE BEEN COMPROMISED AND/OR IF YOU SUSPECT THAT ANYONE OTHER THAN YOURSELF HAS ACCESSED THE PORTAL WITH YOUR LOGIN ID AND PASSWORD.

You acknowledge that there are certain security, corruption, transmission error and access availability risks with using open networks such as the Internet and you expressly assume such risks. Because user authentication on the Internet is difficult, Service Group cannot and does not confirm any user’s purported identity.

Potential Disruption of Service

Access to the Web Portal may from time to time be unavailable, delayed, limited or slowed due to, among other things:
  • Hardware failure, including among other things failures of computers (including your own computer), servers, networks, telecommunication lines and connections, and other electronic and mechanical equipment;
  • Software failure, including among other things, bugs, errors, viruses, configuration problems, incompatibility of systems, utilities or applications, the operation of firewalls or screening programs, unreadable codes, or irregularities within particular documents or other content;
  • Overload of system capacities;
  • Damage caused by severe weather, earthquakes, wars, insurrection, riots, civil commotion, act of God, accident, fire, water damage, explosion, mechanical breakdown or natural disasters;
  • Interruption (whether partial or total) of power supplies or other utility of service;
  • Strike or other stoppage (whether partial or total) of labor;
  • Governmental or regulatory restrictions, exchange rulings, court or tribunal orders or other human intervention; or
  • Any other cause (whether similar or dissimilar to any of the foregoing) whatsoever beyond the control of Service Group.

Confidential Information

"Confidential Information" shall mean the nonpublic and/or proprietary information revealed by Service Group, including without limitation all forms and types of financial, business, product, and rating information relating to Service Group, your Dealership, Customers, and Third Parties, and including, without limitation, the applications provided through the Portal. You agree to keep all Confidential Information acquired from Service Group, whether in connection with your use of the Portal or otherwise, confidential. You shall not use the Confidential Information except as expressly provided herein, and you shall not disclose the Confidential Information without express written permission from Service Group. All Confidential Information shall remain the property of Service Group and shall not in any manner be deemed licensed or transferred to you. You shall return or destroy all Confidential Information on Service Group’s request, upon the termination of the Terms of Use, upon termination of your rights to use the Portal, or upon termination of the access agreement or lender agreement under which you are authorized to use the Portal. YOU SHALL COMPLY WITH ALL PRIVACY AND DATA PROTECTION LAWS, RULES AND REGULATIONS WHICH ARE OR WHICH MAY IN THE FUTURE BE APPLICABLE TO YOUR USE OF THE PORTAL OR ANY APPLICATIONS, DATA OR INFORMATION PROVIDED ON OR THROUGH THE PORTAL. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING SENTENCE, YOU AGREE THAT YOU WILL NOT USE OR DISCLOSE TO ANY OTHER PARTY ANY NONPUBLIC PERSONAL INFORMATION WHICH YOU RECEIVE IN CONNECTION WITH THE TERMS OF USE OR THROUGH THE PORTAL, EXCEPT AS EXPRESSLY PERMITTED IN THE TERMS OF USE OR BY APPLICABLE LAW.

Content and Reports

Subject to this Agreement, Service Group may provide you with access to reports in connection with or through the Dealer Portal. Your rights to access and use the Reports are personal, nonexclusive, and nontransferable. Subject to the terms of this Agreement, you may access, store, display and print the Reports without modification solely for your internal business purposes.

Electronic Transactions

Via this Dealer Portal, multiple business transactions may be executed electronically, including, but not limited to: electronic rate quoting (e-rating), electronic contract creation and submittal (e-contracting), requests for cancellation quotes, claims submittal, and electronic funds transfers. By using these electronic resources, you warrant that you are conducting transactions on behalf of the dealership or customer with their willing consent. All electronic transactions on the Dealer Portal are subject to the same Terms and Conditions set forth in this agreement, with the following additional provisions:

Disclaimers

IN NO WAY LIMITING THE DISCLAIMERS SET FORTH ABOVE, SERVICE GROUP MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING ANY POLICIES OR CONTRACTS (COLLECTIVELY "AGREEMENTS") PROVIDED THROUGH THE PORTAL, AND SPECIFICALLY DISCLAIMS ANY REPRESENTATIONS REGARDING THE ACCURACY, COMPLETENESS, ENFORCEABILITY, LEGALITY, VALIDITY, BINDING EFFECT OR ADEQUACY OF SUCH AGREEMENTS.

Mobile Services

The services offered through the Dealer Portal may include certain services made available through your mobile telephone and other mobile devices. By accessing or using any Dealer Portal mobile services, you consent to viewing and receiving content from Service Group through your mobile device, including, without limitation: texts, news, updates, notices, alerts, widgets, and other mobile content. All content or other data or information received, provided, transmitted, exchanged, or otherwise made available through the Dealer Portal mobile services are subject to this Agreement. You acknowledge that you: (1) are the authorized account holder for each mobile device through which you access or use Dealer Portal mobile services; or (2) have the authorized account holder's permission to use their device(s) to access or use such mobile services. Message and data rates may apply to Dealer Portal mobile services and, depending on your mobile device plan or your mobile carrier or provider, you may incur additional message or data charges by using or accessing the Dealer Portal mobile services. Service Group is not responsible for your use of mobile services or related charges you may incur. Service Group is not responsible for any interruption in service to access via your mobile device(s), pursuant to terms included in this agreement.
